Who may use Mergelay

Mergelay is offered exclusively to professionals acting within the scope of their business activity. It is not offered to consumers within the meaning of the French Consumer Code, and consumer rules — withdrawal period, consumer mediation, the cancellation button of art. L. 215-1-1 — do not apply to it. By subscribing you confirm that you are acting in a professional capacity, and if you act for an organisation, that you may accept these terms on its behalf.

Your account

You must provide accurate information, keep account credentials secure and promptly tell us about unauthorized access. You are responsible for activity under your account and for the people you invite to a workspace.

Repository and destination authority

Only connect repositories, workspaces, recipients and publication destinations you are authorized to operate. You control which repositories Mergelay may access, which destinations receive an Update and which version is approved for publication.

Generated content and human review

Analyses and drafts may be incomplete or wrong. Mergelay is an editorial aid, not an autonomous source of truth or professional advice. You must review the linked evidence, recipients and exact version before approval. You remain responsible for content your workspace approves or publishes.

Orders, payment and the merchant of record

Paid plans and X credit packs are bought from Polar Software, Inc., 3500 South DuPont Highway, Dover, DE 19901, USA, acting as merchant of record and authorised reseller. Polar is the seller of record: it concludes the sale, issues the invoice or receipt, and is responsible for collecting and remitting applicable VAT and sales taxes. Polar’s Checkout & Buyer Terms and its refund policy govern the purchase transaction.

These Terms govern the licence to use Mergelay and the provision of the service, which is supplied by Alexis Wychowaniak EI. In the event of conflict, Polar’s terms prevail as to payment, invoicing, taxes, chargebacks and refunds; these Terms prevail as to the licence, the service, support, acceptable use and data protection. Prices shown on this site exclude VAT and sales tax, which Polar calculates and charges at checkout.

Subscriptions, renewal and cancellation

Mergelay is a paid service with no permanent free plan or free trial. Developer is $11 per workspace each month or $110 each year and covers one repository; Team is $46 per workspace each month or $460 each year, covers unlimited repositories and adds a custom sending domain. Taxes are added at checkout. Your first prepared Update is included as a one-time demonstration; a subscription is required to prepare further Updates. Checkout confirms the selected plan, billing interval and renewal date before payment. Subscriptions renew for the same interval until cancelled. You may cancel before renewal; access continues through the paid period. Payments are non-refundable except where Polar’s refund policy or applicable law says otherwise.

Included publishing and fair use

Paid plans include unlimited creation, editing and approval of product Updates and social drafts for normal product use. Delivery to core destinations — email digests, Slack, Microsoft Teams, automation webhooks — is included under fair use, as is publishing to LinkedIn member profiles, Bluesky and Mastodon. There is no commercial cap on those three networks. We may apply reasonable technical safeguards against automated abuse, security incidents or activity that threatens service availability.

Automatic X publishing and X credit

Each plan includes a monthly allowance of automatic X posts: 10 on Developer and 50 on Team. The allowance resets each month and does not carry over. Beyond the allowance, each confirmed X post consumes 30 cents of prepaid X credit, sold as one-time packs of $10, $25 or $50 through Polar. A post is counted and debited only when X confirms it. A failed attempt costs nothing, and so does an attempt whose outcome Mergelay could not confirm (lost connection, X server error): Mergelay never retries an unconfirmed post, so check the X account before publishing again.

X credit is prepaid and one-time. It never expires while the workspace exists, is never recharged automatically, and nothing is ever charged automatically: you buy a pack when you choose to. Credit has no cash value, is not transferable between workspaces and cannot be exchanged for anything other than automatic X posts. Refunds of a credit purchase are handled under Polar’s refund policy and applicable law. Unused credit is not refunded on cancellation or downgrade except where the law requires it, and it is forfeited when the workspace is deleted.

With no allowance left and no credit, an approved X post is held rather than published; the other destinations of the same Update still publish. You can add credit, wait for the next monthly allowance, or use the free manual “Open in X” fallback. Any subscription or API fee billed to you directly by a connected provider remains your responsibility.

Social publishing

Every social post requires an explicit approval decision. Mergelay never publishes without one and never takes that decision by itself: it is made by a person, in Mergelay or through a one-time review link, or by an agent you explicitly authorise with an operator-scope access token — see “Agent and MCP access” below, and note that what such an agent approves is your decision, not ours. By connecting a network you authorise Mergelay to post on your behalf, through Mergelay’s application, to the account you connected.

You remain bound by each connected network’s own terms, developer policies and content rules — X, LinkedIn, Bluesky and the Mastodon instance you choose — and you are responsible for everything published under your account, including content a model drafted and you approved. Mergelay cannot unpublish, retract or delete a post once a network has accepted it; removal is done in the network’s own interface.

You must not use Mergelay’s social publishing for spam or bulk unsolicited messaging, for posting substantially the same content across multiple accounts on the same network, for undisclosed paid promotion, or for unlawful, deceptive or infringing content. We may suspend or remove a network integration — for your workspace or for everyone — if the platform suspends, limits or changes access for Mergelay’s application, or if your use puts that access at risk. No refund is due for a suspension caused by your breach; if a platform withdraws access generally, we will tell you and, for a paid metered feature, refund the unused prepaid balance attributable to it.

Acceptable use

Do not use Mergelay to break the law, infringe rights, distribute harmful material, expose secrets or personal data to an unintended audience, probe or disrupt the service, bypass limits, quotas or access controls, resell or provide the service to a third party outside your organisation, benchmark it for a competing product, or help another person do any of those things. Do not import contact data you have no lawful basis to send to, and do not use Mergelay to send unsolicited commercial email.

Agent and MCP access

A workspace owner or admin can mint scoped access tokens that let an external coding agent read context, analyse changes, read and write drafts and, at operator scope, review and publish. You are responsible for every agent you authorise and for everything it does with a token you issued, exactly as if you had done it yourself. A token is displayed once at creation and stored only as a hash: we cannot show it again. Set an expiry, keep tokens out of shared prompts and repositories, and revoke a token as soon as it is no longer needed.

Review links

The “Update ready to review” email can carry a one-time review link that approves and publishes without signing in. Whoever holds that link can act for your workspace. It works once and expires after 72 hours. Keep the recipient mailboxes secure, do not forward those emails, and tell us immediately if one reaches the wrong person.

Your content and connected services

You retain your rights in repository data, drafts and published content. You grant us the limited permission required to process that content and operate Mergelay. GitHub, model providers and publication destinations remain governed by their own terms. You may disconnect an integration at any time, but that does not retract content already published to a third-party service.

Data protection

Where Mergelay processes personal data on your behalf — repository content, imported contacts, delivery recipients — the Data Processing Agreement applies and forms part of these Terms. It sets out our instructions, confidentiality, security measures, the general authorisation for sub-processors listed at /subprocessors with 30 days’ notice of change, transfer safeguards, assistance with data-subject requests and breach notification, audit, and the fate of data at the end of the contract. Data we process as controller is described in the privacy notice.

Service changes and availability

We may improve, replace or discontinue features and may temporarily limit service to protect users, connected systems or Mergelay. A feature still in active development is not part of a paid plan unless checkout explicitly includes it. We do not promise uninterrupted or error-free operation and offer no service level agreement. The recovery objectives published in our operational runbooks — a recovery point of about 24 hours on both data planes and a recovery time that has not been measured — are engineering objectives, not contractual commitments.

Suspension, termination and your data

We may suspend or terminate access for material breach, non-payment, security risk or unlawful use. You may stop using the service and cancel your subscription at any time. On termination, payment obligations already incurred and provisions that must reasonably survive continue to apply.

On request made within 30 days of termination, we export your workspace content to you in a machine-readable form. We delete workspace content within 60 days of termination, or sooner on request; backups expire on the schedule stated in the privacy notice. Both windows run from termination and are separate from the 30 days the privacy notice gives us to act on an export or deletion request made while the service is running. Content already published or delivered to a third party is not retracted by termination.

Disclaimers and liability

To the extent permitted by law, Mergelay is provided “as is” and implied warranties are excluded. Neither party is liable for indirect or consequential loss. Our aggregate liability for the service is limited to the amounts paid for the service (whether to Mergelay or to Polar as merchant of record) in the twelve months before the event giving rise to the claim. These limits do not apply where the law does not allow them.

Changes to these terms

We may change these Terms. A change that raises the price of your current plan or reduces what it entitles you to takes effect no sooner than 30 days after we notify you by email or in the product; if you do not accept it you may cancel before it takes effect. Other changes — clarifications, new optional features, additional destinations — may apply immediately. The effective date above always states the current version.

Governing law and contact

These Terms are governed by French law. The courts of Paris, France have exclusive jurisdiction over any dispute arising from them or from the service, without prejudice to mandatory rules that cannot be derogated from by agreement.
